- Why rule-based instead of an LLM?
- Deterministic rules give the same answer every time, run instantly, cost nothing, and require sending the contract nowhere. An LLM can read meaning these rules cannot — but it can also hallucinate, and it means uploading the document. For a quick first-pass triage, the trade goes to rules.
- What do the severities mean?
- High marks findings that most change the economics of a deal: a missing liability cap or IP-ownership clause, unlimited-liability language, an indemnity in a contract with no liability-cap clause, or a perpetual IP assignment. Medium marks other missing clauses and risky patterns like auto-renewal or a non-compete. Low marks things worth noticing, like a jury-trial waiver.
