Acceptable Use Policy

This Acceptable Use Policy (the "AUP") governs how you may use Syndai, operated by Eternex, Inc., a Delaware corporation doing business as Syndai ("Eternex," "Syndai," "we," "us," or "our"). It is part of, and incorporated into, our Terms of Service and any Master Services Agreement or order form between us (together, the "Agreement"). Capitalized terms not defined here have the meaning given in the Agreement. If there is a conflict, the Agreement controls, but this AUP adds detail that binds you as if written into it.

Syndai works by taking a written prompt and doing the work you direct across the functions of a one-person company: building and shipping product changes (in an isolated sandbox against a repository you connect, opening a pull request with evidence attached), and the go-to-market and operations work around that, such as updating docs, drafting and publishing posts, producing media, and drafting outreach, using accounts you connect and sending each result to you to approve ("Output"). To do that work, Syndai sends your prompts, content, and context to third-party AI model providers, currently Anthropic, OpenAI, and Google (each an "AI Provider"). Those providers hold Eternex responsible for how our customers use their models, and this AUP passes those obligations through to you.

1. Our Rules for the Service

Use the Service lawfully and do not wreck it for anyone else. You must not, and must not allow anyone else to:

  • use the Service for any illegal purpose, or to build, deploy, or distribute malware, exploits, or systems designed to cause harm;
  • abuse the sandboxes, including cryptomining, launching attacks or scans against third parties, attempting to escape sandbox isolation, or using compute for workloads unrelated to the purpose of the Service;
  • use the Service to send unlawful, deceptive, or unsolicited bulk messages (spam), or to publish or send anything in violation of the terms of the accounts you connect or of applicable anti-spam, marketing, or e-privacy law; you are responsible for lawful outreach as the sender and, for the personal data of the people you contact, the controller;
  • attempt to access, probe, or extract another customer's data, repositories, connected accounts, prompts, or Output, or any non-public part of our systems;
  • circumvent usage limits, credit accounting, scopes, or other technical restrictions, or share access in a way designed to evade per-seat or usage-based pricing;
  • resell or white-label the Service without a written agreement with us that permits it;
  • reverse engineer the Service, except to the extent applicable law permits notwithstanding this restriction; or
  • use the Service to infringe anyone's intellectual property, privacy, or other rights.

2. AI Provider Flow-Down

You must comply with the acceptable-use and usage policies of every AI Provider whose models power the Service. Those policies are:

These policies change over time, and this AUP tracks them as they change. A violation of any AI Provider's policy is a violation of this AUP, whether or not the specific conduct is listed below.

In addition, you must not use the Service or its Output to:

  1. Weapons and weaponization. Develop, design, or improve weapons or weaponize systems, including cyber weapons and chemical, biological, nuclear, or radiological weapons.
  2. Child safety. Generate, solicit, or distribute child sexual abuse material, or otherwise exploit, sexualize, or endanger minors.
  3. System and infrastructure attacks. Attack, disrupt, or gain unauthorized access to critical infrastructure or any computer system, or create or distribute malware, ransomware, phishing, or spam.
  4. Violence, extremism, and hate. Promote or engage in violent extremism, terrorism, harassment, bullying, or hate directed at people based on protected characteristics.
  5. Election and media integrity. Manipulate or interfere with elections, or produce deceptive political content or synthetic media (audio, image, or video of real people or events) without clear disclosure that it is AI-generated.
  6. Personal data, identity, and intimate imagery. Misuse personal or biometric data, impersonate a person or organization, or produce non-consensual intimate or sexual imagery of a real person.
  7. Fraud and deception. Commit fraud, run scams, deceive others, or engage in academic dishonesty or plagiarism.
  8. Competing models. Build, train, fine-tune, or otherwise improve a competing AI model or foundation model using the Service or its Output, including by using Output as training data or benchmarks for that purpose.
  9. Model extraction and resale. Extract, resell, sublicense, or provide raw or standalone access to the underlying AI models outside the terms of the Agreement, or use the Service as a general-purpose proxy for those models.
  10. Undisclosed and unreviewed use. Present AI-generated Output as human-authored where disclosure is required, or rely on Output without meaningful human review in high-risk domains such as medical, legal, financial, employment, housing, insurance, or safety-critical decisions.
  11. Surveillance and unlawful monitoring. Track, monitor, or profile people without a lawful basis and their consent, including facial recognition, emotion recognition, or predictive policing, or use the Service for censorship or unlawful law-enforcement purposes.
  12. Self-harm and psychological harm. Encourage or facilitate suicide or self-harm, or produce content designed to harass, degrade, or psychologically harm a person.
  13. Sexual content. Generate sexually explicit content. This is in addition to, and does not narrow, the child-safety and non-consensual-imagery rules above.

You are responsible for your prompts, your connected repositories, and everything you do with the Output, including its review, testing, and deployment.

3. Enforcement

We may investigate suspected violations of this AUP. Where we reasonably believe your use violates this AUP, we may throttle, suspend, or terminate access to the Service, with or without notice depending on the risk, as described in the Suspension and Termination section of the Terms of Service. Nothing here limits any other remedy available to us or to an AI Provider.

You will indemnify us for claims, losses, and costs arising from your violation of this AUP, as set out in the indemnification provisions of the Agreement. This includes claims passed through to us by an AI Provider because of your use.
