Terms of Service
Last updated: 2 de noviembre de 2026
1. Agreement to These Terms
Syndai is operated by Eternex, Inc., a Delaware corporation doing business as Syndai (“Eternex,” “Syndai,” “we,” or “us”), located at 2261 Market Street STE 24499, San Francisco, CA 94114. By creating an account, using the Syndai website, application, or API, or clicking to accept, you agree to these Terms, to our Acceptable Use Policy, and to our Privacy Policy. This version takes effect on October 13, 2026. If you use Syndai on behalf of an organization, you represent that you have authority to bind it. You must be at least 18 and able to form a binding contract.
If you or your organization has signed a separate Master Services Agreement or other negotiated written agreement with Eternex covering the Service, that agreement governs to the extent it conflicts with these Terms; these Terms fill any gaps it does not address.
2. The Service
Syndai builds and changes websites and web apps from a plain description of what you want. You describe the site, app, or change, and Syndai designs it, writes the code in an isolated environment, and runs checks on it, such as tests, a security scan, and a browser check. For a website or web app that Syndai hosts (a “Hosted Project”), a change goes live automatically once its checks pass, and you can undo any change. Syndai serves a Hosted Project at a syndai.app address or at a domain you own and connect, counts its visits without cookies, and, where your project uses them, gives it sign-in for its members, file uploads, AI features through Syndai’s AI service (charged to your credits), and emails to its members. Where you turn them on, it also gives a Hosted Project an AI assistant that answers Visitors’ questions from the project’s own pages and passes on questions it can’t answer, a phone line in the US or Canada that answers calls you forward to it the same way and takes messages, and sales of products and memberships through your own Stripe account. People who use a Hosted Project, or call its phone line, are its “Visitors.” For a site Syndai hosts on syndai.app, Syndai tells search engines about the site (for example, by submitting its sitemap) and reads that site’s Google Search Console data from Syndai’s own Search Console account: the searches it appeared in, its clicks and impressions, and whether Google has crawled and indexed it. For another site you add (for example, one built from a repository you connect, or a website you run elsewhere), Syndai creates a Google identity for your workspace; once you give it access to the site’s Search Console property, or ask Syndai to confirm your ownership of the site with Google, Syndai reads the same kind of data and reads the site’s public pages to check their titles and descriptions. When Syndai confirms ownership for you, Google lists your workspace’s identity and the Google account you name as owners of the site. We show this data only to people with access to your workspace, and use it to suggest changes to the site. You do not need to connect a Google account. For a GitHub repository you connect, Syndai opens a pull request with evidence of what was done, such as test output and screenshots, and merges it only when your settings for that repository allow. For an app built from a repository you connect and hosted outside Syndai, you can approve a change that adds Syndai Signals: a script that counts the app’s visits and taps without cookies and reports its errors, and, if you choose, error reports from the app’s server. Syndai uses them to show you how the app is used and what breaks, and to suggest fixes and changes. You can turn on Send to email the people you choose from mailboxes Syndai sets up for your app, after you check the email and each personal line. Send: the sending domain is registered by Syndai in its own name and stays ours; it sends for you while Send is on. You may connect repositories and, where you enable them, other accounts and sources (for example, social, email, or analytics accounts). By connecting an account you expressly authorize Syndai to act on it on your behalf, only within the scope you enable and only to perform the work you direct. That authorization is revocable at any time by disconnecting the account, and we do not delegate it to any third party. You can set up agents that keep part of your project or your work going. Each works from the instruction you give it, wakes on a schedule or when something happens in your project, and acts only under the rules you set: it always asks you before it starts paid work, changes your site’s text, changes something through a tool you connected (beyond what an agent’s mandate covers), or creates or changes an agent, and it asks before any other change unless you have told Syndai it may make that kind of change on its own. It never contacts anyone outside your workspace by itself unless you give it a mandate (below). Each agent has a monthly spending limit you set, and your workspace’s owners and admins can read an agent’s chat. You can also talk to Syndai and your agents from Telegram once you link it in Settings; decisions still need the app. You can also give an agent a mandate: the contacts it may reach (people, businesses, email addresses, phone numbers and websites), the facts it may share (its “pack”), and the bounds of what it may agree to, such as a top monthly price or the longest contract term, which you approve when you start the agent. Within it, the agent speaks for you within those bounds: it writes to and replies to those contacts from the mailbox you connect, calls those businesses, and uses those websites in a browser session you sign in to yourself. It asks you before contacting anyone new, before agreeing to anything outside its bounds, and before any click that pays, buys, orders, deletes, cancels a service or signs; it never pays or signs for you, never shares, says or types a government ID number, payment card number, password or one-time code (it hands the conversation to you when a contact asks for one), says on every call that it is an AI assistant calling for you, and signs every email as sent by your assistant. Syndai and your agents can buy data from the third-party providers the Service lists (for example business listings, a website’s search ranking, or a company’s funding rounds) within each agent’s monthly limit, and from other providers in Monid’s catalog only after you approve a card that names the provider, the exact request and its price; data from a lookup comes under its provider’s terms. An agent can receive email from one sender you name at a receive-only address Syndai creates for it, and Syndai never sends from it. When an agent proposes changes to make on another website, you can make them yourself or choose Fill for me: Syndai opens a browser for you at that website, you sign in yourself, a program types only the values you approved, and you check the form and press the website’s own button to submit it; Syndai never submits it and never keeps your password or the browser session. The Service also includes the API (coding-as-a-service) via scoped API keys, including connecting an AI assistant you use (for example Claude or ChatGPT) through Syndai’s MCP server, which creates an API key for that assistant that you can revoke at any time, and a customer portal for managing runs, connected accounts, keys, credits, billing, and team access. We continuously improve the Service and may add, change, or remove features; if a change materially reduces core paid functionality, we will use reasonable efforts to give advance notice.
3. Accounts and API Keys
You are responsible for your account and everything that happens under it. Keep credentials, API keys, and connected-repository tokens confidential, and grant keys the narrowest scopes that do the job. Notify us promptly if you believe your account or a key has been compromised; we may rotate or revoke keys we reasonably believe are compromised. You are responsible for the actions of anyone you allow to use your account or keys, and your account information, particularly billing contacts, must be accurate and current.
4. Your Content and Output Ownership
Your content stays yours: you retain all right, title, and interest in the repositories, accounts, and other sources you connect and content you submit (“Customer Content”), which, as between you and us, includes what your Visitors upload, post, save, or send through your Hosted Projects (“Visitor Content”), and we claim no ownership of it. Generated output is yours too: as between you and Eternex, you own the code, pull requests, posts, media, and other output the Service generates for you, and to the extent Eternex holds any rights in that output, Eternex assigns them to you.
You grant Eternex a limited, non-exclusive, worldwide license to access, host, store, reproduce, transmit, display, adapt, and process Customer Content solely to provide, secure, and support the Service for you: for example, cloning your repository into a sandbox to build and test a change, acting on a connected account to do the go-to-market or operations work you direct, serving your Hosted Projects to their Visitors, or making smaller copies of an uploaded photo and removing the hidden details in it, such as where it was taken.
Adoption check: when Syndai delivers a change as a pull request, for 30 days afterward we may check your connected repository’s default branch to see whether the delivered commits landed there outside that pull request (for example, by cherry-pick or rebase). The check compares commit fingerprints (git patch-ids) using the repository access you already granted, reads no repository you have not connected, and stops when you disconnect the repository. A person at Syndai reviews any match before it is recorded; a confirmed match marks the delivery as accepted on its delivery record. Nothing is billed on acceptance, and changes Syndai itself lands (for example, under auto-merge) never count.
Where we process personal data on your behalf, our Data Processing Addendum (syndai.ai/legal/dpa) applies and forms part of these Terms, including to personal data of visitors to sites and apps we host for you and to what Syndai Signals collects on apps you host elsewhere. As the controller of that data, you are responsible for your site’s privacy notice, for any consent the law requires from your visitors, and for answering your visitors’ requests; we generate a starter notice for sites we host, and suggest wording for Syndai Signals, for you to review. We do not use Customer Content or output to train machine-learning models, and we contractually require the LLM providers that execute your requests not to train on it either. You represent that you have the rights needed to connect the repositories, accounts, and sources you connect and to submit the content you submit, and that doing so, the work you direct through the Service, and the operation of your Hosted Projects do not violate any law or third-party right.
5. AI-Generated Output
Syndai uses large language models to plan and produce the work: code, documentation, posts, media, outreach, and other output. AI output can be wrong, insecure, incomplete, off-brand, or unsuited to your context even when it looks confident and ships with passing checks. Output is provided as-is: the evidence we attach is an aid to review, not a substitute for it. Checks are not a guarantee. For projects Syndai hosts, a change goes live automatically once its checks pass, and you can undo it. For a repository you connect, Syndai merges only when your settings for that repository allow. Checks can miss problems, so you should review the result, and you are solely responsible for the consequences of using, deploying, publishing, or sending output. You are also responsible for the lawfulness of anything you approve for publication and any outreach you direct through the Service: having a lawful basis to contact recipients and complying with the terms of the accounts you connect and with applicable law, for example CAN-SPAM, GDPR and e-privacy rules, and CASL for marketing or outreach (accurate sender identification, a working opt-out, a valid postal address, and consent or another lawful basis where required). As between you and us, you act as the sender, and as the data controller for the people you contact; Syndai is the tool you direct. What an agent says, writes or agrees to within its mandate is said on your behalf, and as between you and us you are responsible for it as if you had sent it yourself; you are responsible for setting a mandate that fits what you want, for having the right to share each fact in its pack, and for anything you agree to after the agent hands a conversation to you. Read the agent’s chat: it keeps every message, call transcript and browser step it made for you. The answers your Hosted Project’s AI assistant or phone line gives are output too. They come from your project’s own pages, so you are responsible for those pages being accurate, and the assistant never makes a booking or a commitment for you. Reply drafts Syndai writes for your Inbox are suggestions; you decide whether to send them, unless an agent’s mandate covers the sender. Output may be similar to output generated for other customers; the ownership assignment in the previous section applies only as between you and us and does not restrict other customers' independent output. You may not represent that output was authored or endorsed by Eternex.
6. Acceptable Use
Use the Service lawfully and don’t wreck it for anyone else. You must not use the Service for any illegal purpose or to build or distribute malware or exploits; abuse the sandboxes (including cryptomining, attacking or scanning third parties, attempting to escape sandbox isolation, or running workloads unrelated to the purpose of the Service); use the Service to send unlawful, deceptive, or unsolicited bulk messages (spam), or to publish or send anything in violation of the terms of the accounts you connect or of applicable anti-spam, marketing, or e-privacy law; attempt to access or extract another customer’s data, repositories, connected accounts, prompts, or output, or any non-public part of our systems; circumvent usage limits, credit accounting, or scopes; resell or white-label the Service without a written agreement permitting it; reverse engineer the Service except as applicable law permits; or use the Service to infringe anyone’s rights. You may not mandate an agent to make telemarketing or robocalls, to call anyone but a business line, to contact anyone who has asked not to be contacted, to harass or deceive anyone, or to hide that it is an AI. You must also comply with our Acceptable Use Policy at /legal/acceptable-use, including the usage policies of the AI providers that power the Service (currently Anthropic, OpenAI, and Google). In particular, you must not use the Service or its Output to build, train, or improve a competing AI or foundation model, to extract or resell raw or standalone access to the underlying models, or for any use those AI providers prohibit. That policy forms part of these Terms, and breaking it breaks these Terms.
Hosted Projects: you operate your Hosted Projects and are responsible for them and everything in them, including Visitor Content: you set the rules for your Visitors, deal with their complaints, and remove unlawful content. Some content is never allowed on a Hosted Project, on any domain and with or without an age check, including child sexual abuse material, intimate images shared without consent, sexual deepfakes, and adult content such as pornography and other sexually explicit material; the Acceptable Use Policy lists it all. You are responsible for the laws of every place where your Hosted Project is offered, including by blocking places whose requirements you do not meet. If you turn on your Hosted Project’s AI assistant or phone line, you must not hide, change, or ask us to remove the notice that Visitors and callers are talking to an AI, and your project’s privacy notice must describe them (we add that wording to the starter notice we generate before either goes live). Forward calls to the phone line only from numbers you control; it answers calls and takes messages, never makes calls, and is not an emergency service. Use Fill for me only on websites and accounts you are entitled to use, and as their terms allow; you sign in and submit yourself. Use a watch address only for mail you are entitled to receive, not to create accounts, receive sign-in codes, or receive mail meant for someone else. We may throttle, suspend, or terminate access that we reasonably believe violates this section or that policy.
7. Fees, Credits, and Billing
Paid plans and credit packs are offered through the Service. New accounts receive a one-time grant of free credits to start; once it is used, further usage requires a paid plan or credit pack. Nothing here obligates us to keep offering any particular plan. Usage of the Service is measured in credits. Credits are a unit for measuring and prepaying usage of the Service, not a currency: they are not money, have no cash value, cannot be transferred, sold or exchanged, and can be used only for the Service. When you buy a plan or a credit pack we show its price and how many credits it includes, and we publish how many credits each kind of usage consumes. We will not take away credits you already hold; a change to how many credits a pack includes or a kind of usage consumes is a price change under these Terms. Most usage consumes credits metered against the work performed, and a run consumes credits for the compute it uses even if it does not produce a usable result, with one exception: if a run fails because of a problem on our side (for example our infrastructure, the run's sandbox, an upstream model-provider outage, or an internal error), we automatically return the credits it used to your balance, once, as credits rather than cash. This does not apply to a run you stop, a run that reaches the work limit you set, or a run that ends because your own code's checks fail. Usage includes what your agents, paid lookups, AI assistant, phone line (its minutes and its number) and your apps' AI features consume; your agents, AI assistant, phone line and apps' AI features each have a monthly limit you control. Outside costs an agent incurs for you (phone minutes and numbers, browser time, and 24 credits a month for each mailbox you connect, charged when you connect it and at the start of each billing period while it stays connected) are charged in credits at the provider's list price plus 20%, and an agent stops at its monthly limit, including in the middle of a call. Current pricing is published on our site or in your order form. Credits included in a plan are a monthly usage allowance: they reset at the start of each billing period and do not carry over. Credits you buy in a pack, and credits we grant (the sign-up grant and referral credits), stay in your balance until you use them, except that they lapse if your account has no active plan and no activity (such as a run or a purchase) for 12 months. Except where the law requires otherwise or these Terms say so (the return of credits for a run that fails on our side, the 14-day withdrawal right below, and the refund of unused prepaid credits if we discontinue the Service), credits are non-refundable. Subscription tiers renew automatically at the end of each billing period until you cancel; you can cancel any time through the portal, effective at the end of the current period, and we do not prorate partial periods except where required by law. Before each renewal we send a reminder to your account email that names the plan, the amount and frequency of the charge, and how to cancel, and for any term of a year or longer we send that reminder between 15 and 45 days before the renewal date.
Purchases are sold and processed by Polar (polar.sh), which acts as the merchant of record and collects applicable taxes; Polar's buyer terms also apply to your purchase, including its refund and withdrawal terms. You authorize Polar to charge your payment method for subscription fees and the credit purchases you make. Plans and credit packs are charged in the currency shown at checkout, and a subscription keeps the currency it started in. Extra usage and showcase backings are charged in US dollars. Your bank or card issuer may add its own conversion fees. Before you pay, Polar shows the total price, including any taxes it collects. We may change prices with at least 30 days’ notice, applying from your next billing period; the notice will tell you the new price, when it starts, and how to cancel if you do not want to continue. In the United States and Canada, applicable tax is added at checkout; everywhere else, prices for plans, credit packs and showcase backings include tax. Extra usage is charged at the end of each month, plus applicable tax. If you buy as a business and give Polar a valid VAT or GST number, Polar may apply the reverse charge, in which case no tax is added and you pay the price shown. Raise billing disputes within 60 days of the charge and we will work with you in good faith to resolve them.
Fraud prevention. To protect the Service and other customers, we may verify or preauthorize your payment method, set starting spend limits and usage caps, and pause or restrict your account right away if we reasonably suspect fraud, unauthorized card use, or a chargeback. If you dispute a charge with your bank instead of contacting us first, we may suspend paid features while we resolve it. Genuine billing disputes are still handled through the good-faith dispute process above.
Selling through your Hosted Projects. If your Hosted Project sells products or memberships, the sale is between you and your buyer. Payments go to your own Stripe account, under Stripe's terms for that account; Syndai is not the seller or merchant of record and takes no share of your sales. You are responsible for your products and prices, your terms of sale, refunds, taxes, and your buyers' questions and complaints.
Referral credits. If someone signs up through your invite link (including the link on the Syndai badge on your Hosted Project) and their workspace pays its first invoice, your workspace gets 100 credits, once per referred workspace and for at most 10 referrals a month. Referring yourself, or a workspace or email account you control, earns nothing. Referral credits are credits under this section, not money. We may change or end the program for future referrals with notice; credits already earned stay. If you share your invite link publicly, say that you earn credit when someone pays.
Consumers in the EU and UK. If you are an individual buying for personal use in the EU or UK, you have a 14-day right to withdraw from a new subscription or credit purchase. When you start a run, generate a pull request, or otherwise use the Service within those 14 days, you are asking us to begin right away, and you agree that once we have fully performed you lose the right to withdraw. If you withdraw before we have finished, we may charge you a fair amount for what you have already used. To withdraw, cancel in the portal or email legal@syndai.ai.
8. Suspension and Termination
You may stop using the Service and cancel your account at any time through the portal where the portal offers it, or by emailing legal@syndai.ai from your account address. We may suspend or terminate your access, with notice where practicable, if you materially breach these Terms, your usage creates security, legal, or operational risk to the Service or other customers, or the law requires it; for curable breaches we will normally give you a chance to cure. To appeal a suspension, email support@syndai.ai from your account address.
If we reasonably believe content, a Hosted Project, or your use violates these Terms, the Acceptable Use Policy, or the law, we may remove or disable access to the content, take the Hosted Project offline, turn off its Visitor access, its AI features, its AI assistant or its phone line, or refuse to publish it, limited to what the problem reasonably requires. We act immediately and without notice for child sexual abuse material, intimate images shared without consent, malware or phishing, threats to someone’s safety, or when the law or an authority requires it. We preserve and report content and account information when the law requires it, including reporting apparent child sexual abuse material to the National Center for Missing & Exploited Children. When we act, we tell you what we did and why, and how to ask us to review it, unless the law forbids it or telling you would hinder an investigation.
We may discontinue the Service or a feature with reasonable advance notice and will refund unused prepaid amounts for anything we discontinue. Upon termination, your right to use the Service ends and Customer Content is deleted or deactivated per our Privacy Policy; provisions that by their nature should survive (including ownership, disclaimers, liability limits, and indemnification) survive.
9. Our Intellectual Property
Eternex and its licensors own the Service: the software, infrastructure, documentation, design, and branding, and all intellectual property rights in them. Except for the rights expressly granted in these Terms, no rights in the Service are granted to you. Feedback you choose to give us may be used without restriction or obligation to you.
10. Disclaimer of Warranties
THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT OUTPUT WILL BE ACCURATE, SECURE, COMPLETE, OR FIT FOR ANY PURPOSE. WE DO NOT PROMISE THAT ANY SITE WILL BE CRAWLED OR INDEXED BY, OR WILL APPEAR, RANK, OR RECEIVE TRAFFIC IN, GOOGLE OR ANY OTHER SEARCH ENGINE. SEARCH ENGINES DECIDE THESE ON THEIR OWN, AND SEARCH SUGGESTIONS THE SERVICE MAKES ARE OUTPUT UNDER SECTION 5. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, AND ETERNEX’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO ETERNEX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. These limits apply regardless of the theory of liability and even if a limited remedy fails of its essential purpose, but do not limit liability that cannot be limited under applicable law, your payment obligations, or either party’s liability for willful misconduct.
12. Indemnification
You will defend, indemnify, and hold harmless Eternex and its officers, directors, employees, and agents from third-party claims and resulting damages, liabilities, costs, and reasonable attorneys’ fees arising out of or relating to: your Customer Content, including Visitor Content and claims that it infringes a third party’s rights; your use of the Service or output in violation of these Terms, the Acceptable Use Policy, or applicable law; your merging, deploying, distributing, publishing, or sending output; or your operation of your Hosted Projects, including the sales you make through them and your compliance with the laws that apply to them, such as age-verification, consumer-protection, and privacy laws. We will promptly notify you of any such claim and reasonably cooperate at your expense; you may not settle a claim in a way that imposes obligations on us without our consent.
13. Copyright Complaints (DMCA) and Other Reports
If you believe content available through the Service infringes your copyright, send a notice complying with the DMCA (17 U.S.C. § 512) to: Copyright Agent, Eternex, Inc., 2261 Market Street STE 24499, San Francisco, CA 94114, or legal@syndai.ai with the subject line “DMCA Notice.” Include identification of the work and the allegedly infringing material, your contact information, a good-faith-belief statement, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your signature. We may remove material in response to valid notices and may terminate repeat infringers’ accounts. When we remove material in response to a notice, we tell the account holder, who may send us a counter-notice under 17 U.S.C. § 512(g).
To report other content on a Hosted Project that breaks the law or the Acceptable Use Policy, including an intimate image of you shared without your consent, email abuse@syndai.ai or use the “Report this app” link where the project shows one. The Acceptable Use Policy says what to include and how we respond; we act on valid reports of intimate images shared without consent within 48 hours.
14. Changes, Governing Law, and Contact
We may update these Terms from time to time. For minor changes we post notice in the app and update the effective date, and continued use after the effective date means you accept them. For material changes we give at least 30 days’ advance notice by email to your account address, a notice in the portal, or both, and ask you to accept the updated Terms before you continue using the Service; if you do not accept, you can cancel before the change takes effect and we will refund any unused prepaid amount for the period you are cutting short. Changes required by law may take effect sooner. If you are a consumer, nothing in these Terms removes rights you have under the consumer-protection laws of your country, and where a term here conflicts with those rights, those rights apply. These Terms are governed by the laws of the State of California, and any dispute will be brought exclusively in the state or federal courts located in San Francisco County, California. If a provision is unenforceable, the rest remains in effect; failure to enforce a provision is not a waiver; you may not assign these Terms without our consent except to a successor in a merger or asset sale, and we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control. These Terms are written in English, and the English version controls. Any translation we provide is a courtesy copy for convenience only; if it differs from the English version, the English version prevails, unless applicable law requires otherwise. Where applicable law entitles you to these Terms in another language, that version has the effect the law gives it.
Questions about these Terms: legal@syndai.ai, or write to Eternex, Inc., 2261 Market Street STE 24499, San Francisco, CA 94114.
